These Terms & Conditions (“Terms”) are a binding agreement between you and Quantara LLC, a limited liability company licensed by Sharjah Media City (SHAMS), Sharjah, UAE (Licence No. 2646697.01), the owner and operator of the ARCA platform (“ARCA”, “we”, “us”).
By creating an account, accepting these Terms on screen, or using the ARCA websites, apps, or services (the “Platform”), you agree to them. If you do not agree, do not use the Platform.
1. Who may use the Platform
You must be at least 18 and have legal capacity to contract under UAE law. If you use the Platform for an organisation, you confirm you are authorised to bind it, and “you” includes that organisation.
You must hold any licences your activity requires under UAE law — in particular, creators conducting paid promotion in the UAE must hold a valid UAE Media Council e-media / influencer licence (or be covered by one).
2. Accounts & security
Provide accurate registration and verification (KYC) information and keep it current. You are responsible for activity under your account and for safeguarding your credentials.
We may verify identity and, where we facilitate payments, perform anti-money-laundering checks (Federal Decree-Law No. 20 of 2018), and may withhold access or funds to comply with law.
3. The Platform and the agreements
ARCA provides software and services that connect brands, creators, and agencies and administer campaign sourcing, contracting, review, rights management, collection, and payments. ARCA acts as a platform and intermediary; except where expressly stated, the campaign contract is between the brand/agency and the creator under the applicable master agreement and the per-campaign Statement of Work (“SOW”).
Content-creation campaigns are funded upfront. Platform fees are set out in the applicable master agreement: ARCA’s 15% platform fee is carved out of the campaign budget; ARCA takes a 15% commission on each creator fee (the creator nets 85%); on an agency-managed campaign, 10% of the budget is the agency’s value rate, paid out of ARCA’s 15%. Amounts are in AED and exclusive of 5% VAT.
Affiliate (CPA) campaigns are earned on a cost-per-acquisition basis and post-paid: they are settled within 30 days (net-30) of validation rather than funded upfront. The creator receives 70% of the CPA value for each valid, verified acquisition; the applicable platform fee is set out in the relevant brand or agency master agreement.
4. Acceptable use
You will not, and will not allow others to:
- post unlawful, misleading, infringing, defamatory, or harmful content, or content that breaches UAE media content standards or the Cybercrime Law (Federal Decree-Law No. 34 of 2021);
- run paid promotion without the required disclosure (e.g. #Ad / “paid partnership”) or licence, or use bots, fake engagement, or undisclosed incentivised reviews;
- infringe intellectual-property or privacy rights, or upload personal data without a lawful basis;
- access, disrupt, scrape, reverse-engineer, or circumvent the Platform or its security, or introduce malware;
- circumvent the Platform by contracting off-platform to avoid fees for opportunities sourced through ARCA; or
- use the Platform to breach sanctions, anti-bribery, AML, consumer-protection, or advertising laws.
5. Content & intellectual property
You retain rights in content you submit and grant ARCA a worldwide, non-exclusive, royalty-free licence to host, process, and display it to operate the Platform and the relevant campaign, and as permitted by the applicable SOW. Usage rights granted to brands are governed by the SOW.
ARCA, the Platform, and its software, design, and trademarks are owned by Quantara LLC. We grant you a limited, revocable, non-transferable licence to use the Platform for its intended purpose. No other rights are granted.
6. AI features
The Platform uses automated and AI-assisted features (e.g. creator matching, fair-rate suggestions, brief- and content-quality scoring, and document field extraction during onboarding). These are decision-support tools and indicative only; they do not replace your judgement and may be imperfect. See the Privacy Notice for how personal data is processed.
7. Payments
Where ARCA facilitates payments, you authorise us to collect, hold (pending campaign completion), and disburse funds as described in the master agreements and SOW, net of fees and any deductions required by law. Payment processing is handled by third-party providers (e.g. Stripe), whose terms also apply.
8. Third-party services
The Platform may link to or integrate third-party services (payment, storage, analytics, ad platforms). We are not responsible for third-party services; your use of them is at your own risk and subject to their terms.
9. Disclaimers & limitation of liability
The Platform is provided “as is” and “as available”. To the extent permitted by UAE law, we disclaim implied warranties and do not guarantee specific reach, sales, results, or uninterrupted or error-free operation.
To the extent permitted by law, our aggregate liability arising out of or relating to the Platform is limited to the greater of the fees ARCA earned from you in the 3 months before the event and AED 5,000, and we are not liable for indirect or consequential loss. Nothing limits liability that cannot be limited under UAE law.
10. Suspension & termination
We may suspend or terminate your access for breach of these Terms or the master agreements, suspected fraud or unlawful activity, risk to the Platform or other users, or where required by law. You may stop using the Platform at any time; accrued obligations (including payment and survival terms) continue.
11. Changes
We may update these Terms; material changes will be notified via the Platform or email. Continued use after the effective date constitutes acceptance.
12. Governing law & disputes
These Terms are governed by the federal laws of the UAE. Disputes are resolved by good-faith negotiation (30 days), then arbitration under the DIAC Rules (seat Dubai, English) or the Sharjah Courts, as elected by ARCA. Where an Arabic version is required before any UAE court or authority, the Arabic version prevails. Electronic acceptance is valid under Federal Decree-Law No. 46 of 2021.
